Mission:
To support American soldiers by making their deployment as comfortable as possible through sending care packages and creating support systems.

Vision:
Love of Our Troops strives for American soldiers to feel supported and comfortable during deployment.

Programs:
Our programs are designed to support deployed American soldiers physically and emotionally through creating more comfortable deployments and creating support systems. We believe that happy and healthy soldiers will be more productive, safe, have a higher chance of re-enlisting, send a positive message to prospective recruits, and have happier lives after deployment. Our two main programs, Adopt a Soldier and Operation Home, are described below. 
·        Adopt a Soldier
o   Volunteers write (via email and postal mail) and send care packages to provide civilian contact to soldiers who do not have support systems at home
o   Small care packages sent from individual supporters/organizations that include items from our list of approved donations. 
·        Operation Home
o   Large care packages are assembled in our facilities by our staff and volunteers and sent to entire deployed platoons.

Operation Home
Large care packages are assembled in our facilities by our staff and volunteers and sent to entire deployed platoons. These care packages may include (but not limited to): blankets, video games, books, magazines, religious readings, food, playing cards, games, and small appliances. Our staff is responsible for assembling the packages, but we ask for volunteers to come into our facilities and help us or donate items to include. We ask soldiers or their loved ones to reach out to us to help us decide which platoons to support. We believe that all soldiers deserve this treat, but we try to honor a need basis first and serve platoons who lack support systems, have been deployed the longest, or are in extreme conditions first.
SMART Goals:
·        To have 20 volunteer groups who regularly volunteer to assemble packages with us.
·        Provide 50 large care packages to platoons during the 2016, 2017, and 2018 holiday seasons.
·        Host 3 holiday mall drives (2016, 2017, and 2018) to collect care package items.

Adopt a Soldier
Volunteers write (via email and postal mail) and send care packages to provide civilian contact to soldiers. These soldiers include those who do not have home support systems or whose home support system cannot not provide them with the support a soldier deserves. This usually means deployed soldiers who are between 18 and 24 years old and unmarried, but we serve all and any soldier who reaches out to us. Volunteers/organizations send small care packages that include items from our list of approved donations (blankets, food, games, books, etc.). We ask for individual volunteers, but Adopt a Soldier is a great opportunity for Sunday school classes, elementary/middle school classes, or small volunteer groups.
SMART Goals:
·       To have 200 soldiers adopted by October 2016. (October tends to be a deadline to send holiday packages to soldiers deployed in the Middle East)
·       To have 400 soldiers adopted by October 2017.
·       To have 600 soldiers adopted by October 2018

ARTICLES OF INCORPORATION
of Love for Our Troops

The undersigned incorporator(s) is an (are) individual(s) 18 years of age or older and adopt the following articles of incorporation to form a nonprofit corporation (Chapter 317A).

Article I – Name
The name of this corporation shall be Love for Our Troops.

Article II – Registered Office Address
The place in Minnesota where the principal office of the corporation is to be located at 1536 Hewitt Ave., St. Paul, Minnesota, 55104.

Article III – Purpose
This corporation is organized exclusively for charitable, religious, educational, and scientific purposes as specified in Section 501(c)(3) of the Internal Revenue Code, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
The purpose of Love for Our Troops is to support and comfort deployed American soldiers. Love for Our Troops does this by providing civilian support systems for soldiers who do not have home support systems and by sending large care packages to make deployment feel a little more like home.

Article IV – Exemption Requirements
At all times the following shall operate as conditions restricting the operations and activities of the corporation:
1. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in the purpose clause hereof.
2. No substantial part of the activities of the corporation shall constitute the carrying on of propaganda or otherwise attempting to influence legislation, or any initiative or referendum before the public, and the corporation shall not participate in, or intervene in (including by publication or distribution of statements), any political campaign on behalf of, or in opposition to, any candidate for public office.
3. Notwithstanding any other provisions of this document, the organization shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future tax code, or by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future tax code.

Article V – Membership and Board of Directors
This corporation shall have members. The eligibility, rights and obligations of the members will be determined by the organization's bylaws.
The management of the affairs of the corporation shall be vested in a board of directors, as defined by the corporation's bylaws. No director shall have any right, title, or interest in or to any property of the corporation.
The number of directors constituting the initial board of directors is four (4); their names and addresses are as follows:

Rachel Thompson, St. Paul, MN

Members of the initial board shall serve until the first annual meeting, at which they will be deemed qualified and then elected or removed and replaced according to the bylaws.

Article VI – Personal Liability
No member, officer, or director of this corporation shall be personally liable for the debts or obligations of this corporation of any nature whatsoever, nor shall any of the property of the members, officers, or directors be subject to the payment of the debts or obligations of this corporation.

Article VII – Duration and Dissolution
The duration of the corporate existence shall be perpetual until dissolution.
Upon the dissolution of the organization, assets of the corporation shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the United Service Organization (USO).
Article VIII – Incorporators
In witness whereof, we, the undersigned, have hereunto subscribed our names for the purpose of forming the corporation under the laws of the State of Minnesota and certify we executed these Articles of Incorporation this January 1 of 2015.

Love for Our Troops
Bylaws

Article I — Name and Purpose

Section 1

The name of the organization is Love for Our Troops, Inc.

Section 2

This corporation is organized exclusively for charitable, literary, and educational purposes, including for such purposes, the making of distributions to organizations that qualify under section 501(c)(3) of the Internal Revenue Code, or any corresponding section of any future federal tax code.

The purpose of Love for Our Troops is to support and comfort deployed American soldiers. Love for Our Troops does this by providing civilian support systems for soldiers who do not have home support systems and by sending large care packages to make deployment feel a little more like home.

Article II — Members

Section 1

Membership in the corporation will consist of elected directors and board members.

Article III — Board of Directors

Section 1

The board of directors is responsible for setting policy, governing the organization, delegating power, hire the executive director, and conduct business. There are to be a minimum of seven board members and a maximum of 15 board members.

Section 2

Directors are elected to serve 3 year terms and can serve as many as 2 consecutive terms. Former directors can reapply to become board members 1 year after their last term. Directors are only allowed to serve eight total terms.

Section 3

Board members will be elected by current board members. A temporary nomination committee will be created to find candidates. Then the entire board of directors will vote on final candidates, where the vote must pass by a two-thirds vote.

Section 4

For a motion to pass two-thirds of the entire board must be in favor or the following quorum requirements must be met: two-thirds of the board must be present and the vote must pass by a three-fourths vote.

Section 5

The board will meet in its entirety every month. Board committees will also meet monthly. Special board meetings can be called if information needs to be communicated before the next regularly scheduled board or committee meeting. Each board member will be notified of time and location of the next meeting at a minimum of one week in advance via email.

Section 6

Board members will be placed up for review for removal if they commit any of the following offences:
  • Miss two or more monthly board meetings within one year
  • Fail to disclose a conflict of interest
  • Disclose confidential information
  • Participate in any anti-military or anti-soldier protests or groups
  • Refusal to participate in or cannot pass a background check
If a board member has committed and of the above offences they can be removed by a three-fourths vote of the board of directors.

Section 7

Voting will be done in the form of voice votes that will be tallied and documented by the Secretary. All votes must be called by the highest ranking board member present.

Section 8

Directors shall not be compensated for their service except for reimbursement of reasonable expenses, with the exception of the Executive Director who does not have a vote on the board.

Article IV — Officers of the Board

Officers of the Board of Directors will include the officer positions of President, Vice President, Treasurer, and Secretary. They are limited to two consecutive terms of three years with a total of 8 total terms serving as an officer.

Section 1

The President of the board will preside over all board meetings, call for votes, appoint committees, and ensure that proper records are maintained and filed as necessary.

Section 2

The Vice President will act as the president in his/her absence and will help preside over meetings.

Section 3

The Treasurer will oversee financial matter, ensure that money is deposited promptly in the appropriate accounts, and prepare budgets.

Section 4

The Secretary will take the minutes of each meeting, tally and document votes, keep official records, and file necessary documents.

Article V — Board Committees

The board of directors is comprised of five committees: ways and means, finance, program, nominating, and executive. The role of each committee is included under the following sections.

Section 1

In this section, the responsibilities of the ways and means committee include ensuring that adequate funds are available for the organization to carry out its exempt purpose. These responsibilities include working with organizational staff and other members of the board to solicit charitable gifts, carry out fundraising events, and secure foundation and corporate grants.

Section 2

The responsibilities of the finance committee include preparing and approving an annual organizational budget, overseeing with the treasurer the accounting and banking functions of the organization, and arranging for a certified audit of the organization’s accounts.

Section 3

The program committee oversees and provides advice regarding the organization’s activities that carry out its charitable purpose. The committee meets on a regular basis with program staff to obtain information about the organization’s programs and makes regular reports to the board of directors about these activities.

Section 4

The nominating committee assumes the tasks of identifying candidates for election to the board and assembling a slate of officer candidates to be elected by the full board.

Section 5

The executive committee is made up of the officers of the board. The executive committee can act on behalf of the board in special circumstances, but these actions must be approved by the full board of directors at the next regular board meeting.

Section 6

The president of the board may establish special committees to undertake designated responsibilities on an as-needed basis.

Article VI — Dissolution

Dissolution must be proposed by the executive board and passed by a three-fourths vote by all board of director members. In the result of dissolution all assets will be transferred to the United Service Organization (USO).

Article VII — Amendments to the Bylaws

Section 1


All bylaws will be reviewed by the executive committee every three years. These bylaws may be amended subject to approval of a vote of two-thirds of the sitting directors.
